Please read these Terms carefully. By creating an account or using the Service you agree to be bound by this contract. If you do not agree, do not use the Service.

1. Definitions

• "Service" means the AI-powered social media engagement platform available at https://mirroi.com and https://app.mirroi.com, operated by Mirroi.
• "Account" means the user credentials you create to access the Service.
• "Content" means any keywords, product context, brand information, response templates, or other data you upload or transmit through the Service.
• "Social Platforms" refers to Reddit, X (Twitter), LinkedIn, and other social media platforms integrated with the Service.
• "AI Responses" means automated response suggestions generated by our AI system based on your product context and social media mentions.
• "We/us/our" means Mirroi, a product of Grappes IT Services FZCO, Dubai, UAE.
• "You" means the individual or entity that opens an Account.

2. Eligibility & Accounts

2.1 You must be able to form a binding contract. If you are under 18 you may use the Service only with the involvement of a parent or legal guardian.

2.2 You will keep your login credentials confidential and notify us immediately of any unauthorised use.

2.3 You are responsible for all activity that occurs under your Account.

Before subscribing we strongly recommend that you review our main website at https://mirroi.com to understand the Service's capabilities, features, and policies.

4. Acceptable Use & Platform Policies

4.1 Consent responsibility. You may only engage with Social Platform content in compliance with each platform's terms of service, community guidelines, and applicable laws including CAN-SPAM, GDPR, or equivalent local regulations.

4.2 Prohibited uses. You may NOT use the Service to:

• Send spam, unsolicited commercial messages, or automated responses without disclosure
• Spread misinformation, disinformation, or deceptive content
• Manipulate discussions, artificially inflate engagement, or coordinate inauthentic behavior
• Engage in NSFW (Not Safe For Work) content or adult-themed promotions
• Harass, bully, threaten, or intimidate other users
• Promote hate speech, discrimination, or violence
• Violate any Social Platform's terms of service or community guidelines
• Circumvent platform bans, restrictions, or moderation actions
• Collect or harvest user data from Social Platforms in violation of their policies
• Use the Service for illegal purposes or to promote illegal activities

4.3 Authenticity requirement. All engagements made through the Service must:

• Be genuine and relevant to the conversation
• Clearly disclose your affiliation with the product/brand when required by platform rules or FTC guidelines
• Add value to the discussion rather than purely promotional content
• Respect the community norms of each Social Platform

4.4 Enforcement. We reserve the right to:

• Review and moderate AI-generated responses before posting (at our discretion)
• Suspend or terminate accounts that violate these terms
• Cooperate with Social Platforms' investigations of policy violations
• Report illegal or harmful activity to appropriate authorities

5. Content & Data

5.1 Ownership. You retain all right, title and interest in your Content. We obtain no ownership rights to your product information, brand context, or proprietary data.

5.2 Licence to us. You grant us a limited, worldwide, royalty-free licence to copy, store and process Content solely to provide the Service, including generating AI responses and tracking engagement metrics.

5.3 Deletion. You may export or delete your Content at any time through the dashboard or by formal written request to hello@mirroi.com. Deletion removes it from active servers within 24 hours and from backups within 30 days.

5.4 AI Processing. You acknowledge that:

• Your Content (product context, brand information) will be processed by Google Gemini API to generate AI responses
• We do not train Google's AI models on your proprietary business data
• You are responsible for reviewing and approving all AI-generated responses before they are posted
• We do not guarantee the accuracy or appropriateness of AI suggestions

5.5 Social Platform Data. You acknowledge that:

• Your use of Social Platform data is subject to each platform's API terms and developer policies
• You are responsible for complying with each Social Platform's privacy policy and data usage rules
• We act as a processor of publicly available Social Platform data on your behalf

6. Fees, Billing & Refunds

6.1 Subscription plans. The Service offers free tier and paid subscription plans with different feature sets. Current pricing is available at https://mirroi.com/#pricing.

6.2 Billing cycles. Subscriptions are billed monthly or annually based on your selected plan. Prices are in USD unless otherwise stated.

6.3 Payment processing. Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method according to your selected plan.

6.4 Plan changes. You may upgrade, downgrade, or cancel your subscription at any time through your dashboard. Changes take effect at the start of the next billing cycle.

6.5 Refund policy. We offer refunds if the platform does not deliver the core functionality as described on our website and documented in our help resources. Refund requests must be submitted within 30 days of purchase to hello@mirroi.com with a detailed explanation of how the Service failed to meet its advertised capabilities.

6.6 Free tier. Our free tier includes limited features. We reserve the right to modify free tier limitations with notice posted on our website.

7. Suspension & Termination

We may suspend or terminate your Account, without refund, if you:

• Violate Section 4 (Acceptable Use) or Section 5 (Content & Data)
• Commit fraud, charge-back abuse, or payment fraud
• Become insolvent or subject to bankruptcy proceedings
• Abuse our support staff or infrastructure
• Repeatedly generate low-quality or spam-like AI responses despite warnings
• Violate Social Platform terms of service resulting in complaints or bans

Sections that by nature survive (ownership, limitation of liability, governing law) shall survive termination.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT UNINTERRUPTED OPERATION OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC ENGAGEMENT RESULTS OR BUSINESS OUTCOMES FROM USING THE SERVICE.

9. Limitation of Liability

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH SOCIAL PLATFORM USERS AND ANY CONSEQUENCES RESULTING FROM YOUR ENGAGEMENTS.

10. Indemnification

You will defend and hold us harmless against any claims, losses or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your Content, your engagement activities on Social Platforms, or your violation of any third-party rights (including Social Platform policies).

11. Governing Law & Forum

These Terms are governed by the laws of the United Arab Emirates, excluding conflict-of-law rules. Any dispute not resolved informally shall be submitted to the courts of Dubai, UAE.

12. Changes to Terms

We may update these Terms by posting a new version at https://mirroi.com/terms and, for material changes, by emailing you at least 30 days in advance. Continued use after the effective date constitutes acceptance.

14.1 API Usage

If you access our API, you agree to comply with our API documentation, rate limits, and usage guidelines. We reserve the right to throttle or suspend API access to maintain service stability.

14.2 Third-Party Integrations

The Service integrates with third-party platforms (Reddit, X/Twitter, LinkedIn, Google). Your use of these integrations is subject to each platform's terms of service. We are not responsible for changes to third-party APIs or service disruptions.

14.3 AI-Generated Content

AI-generated responses are suggestions only. You are solely responsible for reviewing, editing if necessary, and approving all content before it is posted to Social Platforms. We do not guarantee that AI responses will be accurate, appropriate, or compliant with platform rules.
